Denise Hanna is a member of the firm’s Corporate Department and the firm’s Health Care and Business Technology practice groups. Ms. Hanna represents both health care and non-health care businesses in general corporate matters, mergers and acquisitions, strategic ventures, financings and complex business transactions, many of which involve issues and business relationships of first impression. Ms. Hanna is often involved in advising clients of the impact of health care regulation on a range of business transactions. Ms. Hanna has extensive experience in developing and negotiating contracts for her clients’ standard operations, marketing and distribution arrangements and business process outsourcing.

Ms. Hanna also advises pharmacy benefit management (PBM) companies and health plans offering managed pharmacy benefits. Ms. Hanna has counseled both health plan and PBM clients on the interpretation of Part D of the Medicare Prescription Drug, Improvement, and Modernization Act of 2003, and in the development of contracts for the administration of Medicare Part D prescription drug benefits.

Ms. Hanna’s representative transactions include:

  • Lead counsel in successful sales and acquisitions of businesses in California, Colorado, Florida, Illinois, New Jersey, New Mexico, Texas, Washington and Utah;
  • Lead role in $2 billion acquisition of multi-state managed care company;
  • Lead counsel in acquisition of regional pharmacy benefit management company;
  • Lead counsel in sale of automobile insurance company;
  • Lead counsel in development, structure and financing of pharmacy group purchasing organization;
  • Lead counsel in many successful business process outsourcing transactions;
  • Lead counsel in restructuring health insurer’s relationship with CDHP venture partner;
  • Lead counsel in acquisition of technology company engaged in the development of electronic prescribing technology; 
  • Lead counsel in the acquisition of company operating senior-focused web portal;
  • Lead counsel in the development of marketing alliance between two large regional health care companies; and
  • Lead counsel in development of client’s contractual and relational structure as necessary to obtain authorization from CMS to offer a Medicare Prescription Drug Plan authorized under the Medicare Prescription Drug, Improvement, and Modernization Act of 2003.
